**Responsibilities:**
* Draft and negotiate asset/stock-purchase, JV, and LLC agreements
* Lead virtual due-diligence and manage secure data rooms
* Advise on corporate governance, insurance regulation, and enterprise risk
* Form entities and handle foreign qualifications in WV/KY/OH
* Prepare nuanced coverage opinions for complex insurance matters
* Serve as counsel or neutral in mediations and arbitrations
* Mentor associates, researchers, and legal assistants
* Publish thought leadership and build referral networks via webinars/articles
**Requirements:**
* JD with active WV bar (KY/OH admission or waiver eligibility preferred)
* 4+ years’ corporate/transactional and insurance-coverage experience
* Command of virtual deal-room and e-signature platforms
* Exceptional drafting, negotiation, and client-management skills
* Comfort operating independently in a paperless environment
* Clean malpractice record
* Genuine interest in equity partnership within 3–5 years
